senior security senior security, 优先证券 senior security 优先证券 在特定资本结构中优先于其他证券获得收益或得到清偿的证券。在股份上市公司分配收益和进行清算时，债券优先于股票，优先股优先于普通股，抵押债券优先于信用债券，首次抵押债券优先于二次抵押债券。所有位次靠后的证券相对优先证券而言称为次级证券〔junior security〕。
