A buyer’s delivery of money or other thing of value to the seller, and its acceptance by the seller, when the money or the value of the thing does not equal the full sum owed. [Cases: Sales 202(7); Vendor and Purchaser 184. C.J.S. Sales § 223; Vendor and Purchaser § 429.]

part payment 部分支付；部分偿付 指买受人将金钱或其他有价值之物交付出卖人并为其接受，而买受人的交付并不足以清偿其所欠的全部款额。债务的部分偿付可使已因超过诉讼时效而不得请求偿付的债务(实指未偿付之债务)恢复效力〔revive a debt〕。英国1939年《诉讼时傚法》〔Limitation Act〕即作如是规定。另据该法，连带债务人〔joint debtor〕之一方在诉讼时效届满后对债务所作的部分偿付，并不使其他连带债务人的债务恢复效力。根据英国1893年《货物买卖法》〔Sale of Goods Act〕，对超过10英镑的货物买卖提起可强制执行的合同之诉时，须以书面证据或者部分支付为必要条件，但1954年《法律改革(合同强制执行)法》〔Law Reform(Enforcement of Contracts) Act〕之后，对该种合同之诉不再规定特别条件。部分支付的金额首先用于清偿到期利息。如支付的金额超过利息额，超过部分则用于清偿本金，剩余本金继续计付利息；如支付的金额少于到期利息，少付部分不得计入本金。
