mere continuation doctrine
mere-continuation doctrine. A principle under which a successor corporation will be held liable for the acts of a predecessor corporation, if only one corporation remains after the transfer of assets, and both corporations share an identity of stock, shareholders, and directors. — Also termed continuity-of-entity doctrine.
