implied covenant 默示协议；默示合同条款 普通法上的合同条款；或指由整个合同以及与合同执行有关的情形中合理推定的协议或合同条款。例如，由缔结租赁合同的行为以及租赁合同中所使用的某些文字可以在法律上推定承租人可以和平占有和享用该房屋，并免受出租人的干扰；而出租人对该房屋享有完全的所有权，并有权缔结租赁合同。
