cooling off period 冷却期；重新考虑期间；等待期 指争议各方均不采取特定行为的一段期间。常发生于以下情形中：１在劳动法中，指在工会或公司提出申诉后的一段期间(一般为一个月)内，工会将不举行罢工，公司亦不得解雇工人。２在买卖法中，买方可以在此期间内取消一项买卖。例如，在美国许多州的制定法中规定，对于送货上门或上门推销而达成的交易，应给予当事人3天时间重新考虑，在此期间，当事人可以取消该项交易。３美国的某些州，指在当事人提出离婚诉讼到法院首次开庭审理之间，除一般性的法院延缓时间外，尚须存在的一段自动延缓期间。４在证券法中，指提出登记申请到登记生效的一段时间，通常不低于20天。
