exoneration n. (1)免罪;免除(义务、责任) (2)追偿权;免责权;卸责权 指替他人偿还其应付款项后,再向该他人追偿所付金钱的权利。保证人的卸责权本是保证人在衡平法上享有的权利,但在美国许多州的制定法中也得到确认,这是因为,如果负有主要义务的主债务人有能力清偿债务却强迫负次级义务的保证人进行清偿,有失公平。这与各当事人对同一义务负有同等责任时的责任分担〔contribution〕不同,卸责权只存在于当事人所担义务有主次顺序的情形中。
