adopt

adopt v. (1)采取;采纳;采用 (2)通过(法律、法规、决议、报告等);批准;同意 (3)接受;认可 (4)承认;追认 指某人接受一项他人先前为其利益而订立的合同的约束,即认可该合同对自己发生法律约束力。该词在英国与合同的追认〔ratification〕的含义一致,表示以积极行为追认一项合同,与默许追认〔ratification by acquiescence〕相对。但在美国,一般常用ratification 表示对他人未经授权或超越授权范围以代理人身份订立的合同的认可,用adoption表示公司对其成立前发起人为公司利益订立的合同的认可。二者的区别在于:ratification使合同对追认人的效力回溯至最初订立时,即合同自最初订立时就对追认人发生法律效力;而adoption表示合同自被承认时起约束承认人。而英国法中的adoption与ratification则同样适用于合同最初订立时追认人必须已经存在的情况。但有时两者在具体用法上并无严格区别,在英国也用adoption表示公司对其成立前发起人所订合同的认可,而美国法院有时亦用ratification描述这一行为。 (5)收养(→adoption) (6) 〈英〉提名(某一申请者为下议院)议员候选人 (7)〈英〉(地方政府机构从私人等手中)接管(公路等) (8) 〈英〉(开展活动以)要求释放(政治犯)
