advice of counsel (1)律师(给予当事人)的意见(建议) (2)遵循律师建议的答辩 １在恶意控告〔malicious-prosecution〕的诉讼中，说明被告将有关事实完全告诉了其律师并且诚实地遵循了律师的建议的答辩；２诉讼一方当事人为寻求免予承担责任而主张自己是根据律师的建议合理地且善意地行事的答辩。作出此种答辩通常要求放弃律师—当事人谈话守密特权〔attorney-client privilege〕。
