forum selection clause 协议管辖条款合同的双方当事人可以预先约定，在发生纠纷时，由某一州、某一国家、某一法院管辖；也可约定采用的司法程序或行政程序。这种条款通常有效，但其目的是为阻挠诉讼的除外。

forum-selection clause. A contractual provision in which the parties establish the place (such as the country, state, or type of court) for specified litigation between them. — Also termed choice-of-exclusive-forum clause.
