retention n. (1)〈苏格兰〉留置权 指一方当事人有权扣留他人动产并予以占有，直至他人向其清偿债务。它与英格兰法中的留置权〔lien〕相对应。分为一般留置权〔general retention〕与特别留置权〔special retention〕。 (2)保留权；扣留权 在合同关系中，指一方当事人在对方当事人履行合同义务或因未履行合同义务而进行赔偿之前，有权保留债务。例如在对方交付货物或因未交付而承担违约赔偿金之前，一方当事人可以保留其应付的价款。亦指对本应交付对方的财产进行保留，例如对已出售的土地保留其占有，直至对方付清价款。
