S-1 〈美〉S-1表 一种表格。任何一家公司要想使自己的证券在国内上市交易，都必须向证券交易委员会〔Securities and Exchange Commission〕填交这种表格，主要用于首次发行证券的发行人。该表格要求发行人披露有关发行人及上市证券的大量信息，是基本的和详尽的登记陈述书，亦称作「Form S-1」。对于规模小一些的企业，证券交易委员会〔SEC〕使用修改过的SB-1和SB-2表格。
