spin-off, n. 1. A corporate divestiture in which a division of a corporation becomes an independent company and stock of the new company is distributed to the corporation’s shareholders. spin off 股份转移；转股；公司分离 一个公司向另一个新公司转让一定的资产以获得对该公司的控股股份，然后将这些股份分配给自己公司的股东，而获得新分配的股份的股东无需向该公司交回其所持有的该公司的股份作为交换。例如，甲公司通过向乙公司转让资产取得了足以对乙公司形成控股的股份，然后甲公司将这些乙公司股份分配给甲公司的股东。这是母公司放弃对其分支机构或子公司的控制，而使后者成为一个独立的公司的方式之一。 (→divestiture)
