voting trust 股权信托 指公司股东将其投票选举权转让给受托人行使的信托协议。即公司的一股东与受托人签订信托协议，或者由不同股东分别与共同受托人签订的一组内容一致的信托协议，规定在一定的年限内，或者在某一意外事件发生之前，或在信托协议的有效期内，股东对股票的控制权授予受托人，而不必再征询股东或其指定人的同意；股东保留对股票、红利和收益的所有权。 (→voting group)
