legal subrogation 法定代位；法律上的代位 指为防止欺诈或不公，通过直接适用法律或依衡平法推断产生的代位权利。法定代位主要有以下几种情况：１与债务人有权利义务或财产委托关系的人代替债务人向债权人清偿债务，清偿行为使付款人有权享有与债权人同等的权利、救济或保证；２履行因合同、制定法或法律准则而产生的法律义务所为的偿付行为，或者其偿付行为是公共利益准则所认同的；３次债务人支付债务，代位行使债务人的权利；４作为保证人清偿债务；５为了保护自己的权利或财产而被迫清偿债务。 (→subrogation)
